These terms govern your use of IOLTAlign ("the app"), published by Baker Ventures LLC. By using the app you agree to them. If you do not agree, do not use the app.
The app tracks and reconciles. It does not advise. Specifically:
You remain solely responsible for your trust-accounting obligations, including whether, how often, and in what form your jurisdiction requires you to reconcile, retain records, notify a client, or report a discrepancy. Verify your own rule. The app deliberately does not hard-code a reconciliation mandate or frequency for any jurisdiction: the one jurisdiction rule entry it ships (Utah) quotes the rule verbatim precisely because that rule does not itself state a three-way reconciliation requirement — see docs/CITATION-VERIFICATION.md. Three-way reconciliation is standard trust-accounting discipline; the app does not claim it is your jurisdiction's stated requirement.
The app computes from exactly what you enter. It cannot see your bank, does not connect to any financial institution, and cannot verify a statement balance, a date, or an amount. A reconciliation that ties out proves the numbers you entered are internally consistent — nothing more. Always check the app's figures against your actual bank statement and your own records before relying on them, and keep your authoritative trust records independently of this app (section 6).
The app refuses to record a disbursement, fee, or transfer that would take an individual client ledger negative, because one client's funds must never cover another's. That check is a safeguard on data entry, not a guarantee that your trust account is in order.
The app requires no account, no sign-in, and no personal details, and it makes no network requests. Everything you enter — trust accounts, client ledgers, transactions, statement figures, saved reconciliations — is stored only on your own device. See the Privacy Policy for the full detail.
The data you put in this app will normally be confidential client information under your jurisdiction's equivalent of ABA Model Rule 1.6. We never receive it and never hold a copy. That means the security of the device, its passcode, its encryption, its OS-level backups, and anything you export and send onward are your responsibility as the lawyer. Use the app on a device you control and secure, and be deliberate about where an exported report goes — it can contain client names, matters, and amounts.
The app can render a reconciliation report as a PDF or plain text and hand it to your device's standard share sheet. Where you send it is your decision, and it leaves the app's control at that moment.
Because the data lives only on your device, losing the device, resetting it, or uninstalling the app destroys the data, and we have no copy and cannot restore anything. This app is not a records-retention system and does not satisfy any jurisdiction's trust-records retention requirement. Maintain your authoritative records as your rules require, separately from this app.
Tracking ledgers and running reconciliations is free. A "Pro" tier is planned to unlock the exportable reconciliation report. Nothing in the app is purchasable today — no App Store or Google Play product exists, the app never takes a payment, and any price shown on the paywall screen is a planned figure, not an offer. If a paid tier ships, it will be sold as a standard in-app purchase billed by Apple or Google under their terms, managed and cancelled in your Apple or Google account settings, and these terms will be updated before it goes live.
Use the app for trust accounts you are responsible for or assist with. Do not reverse-engineer, resell, or redistribute the app, and do not present its output as a certification, audit opinion, or statement issued by Baker Ventures LLC.
The app is provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the app's calculations match your bank's, that the jurisdiction information is current or complete, or that the app will be error-free or uninterrupted.
To the maximum extent permitted by law, Baker Ventures LLC is not liable for any indirect, incidental, special, consequential, or punitive damages, or for any lost profits, lost data, trust account shortage or overdraft, misapplied client funds, bar complaint, disciplinary proceeding, audit finding, or client claim, arising out of or relating to your use of the app. Where liability cannot be excluded, our total aggregate liability is limited to the greater of the amount you paid us for the app in the twelve months before the claim, or US $50.
We may update these terms. The date above will change, and material changes will be described in the app's release notes. Continuing to use the app after an update means you accept the updated terms.
These terms are governed by the laws of the State of Utah, United States, without regard to its conflict-of-laws rules.
